"Facility"
Refers to any commercial property, office space, medical facility, or other location where our cleaning services are requested or provided.
"Service Agreement"
Refers to any written contract between Workspace Clarity and a client outlining specific service terms, scope, pricing, and schedules.
Client Obligations and Responsibilities
1. Accurate Information
You agree to provide accurate, current, and complete information when:
- Submitting inquiries or requesting service information
- Providing facility details for assessments or proposals
- Entering into service agreements
- Communicating about service requirements or changes
- Reporting issues or concerns related to our services
2. Facility Access and Cooperation
For service delivery, clients agree to:
- Provide appropriate access to facilities during scheduled service times
- Ensure safe working conditions for our cleaning teams
- Communicate any hazards, security requirements, or special considerations
- Maintain clear pathways and remove obstacles that would prevent proper cleaning
- Provide necessary utilities (water, electricity) for service completion
- Designate a point of contact for service coordination
3. Compliance with Laws
You agree to comply with all applicable laws, regulations, and ordinances when using our website or engaging our services. This includes workplace safety regulations, environmental compliance, and any industry-specific requirements that apply to your facility.
4. Respectful Conduct
You agree to treat our staff, contractors, and representatives with respect and professionalism. Abusive, threatening, or discriminatory behavior toward our team members may result in immediate service termination without refund.
5. Prohibited Activities
Clients agree not to:
- Request services that violate laws or regulations
- Ask our staff to handle hazardous materials without proper authorization and protocols
- Interfere with our team's ability to perform services safely and effectively
- Attempt to directly hire our employees without written authorization
- Use our services for purposes other than their intended commercial cleaning function
Service Delivery Conditions
Service Scope
Services are provided according to the scope outlined in service agreements or proposals. Additional services or scope changes require prior agreement and may incur additional charges. We reserve the right to decline services that fall outside our expertise or present safety concerns.
Scheduling and Access
Service schedules are established through mutual agreement. Changes to schedules require reasonable notice as specified in service agreements. If facility access is unavailable during scheduled times without prior notice, you may be responsible for rescheduling fees.
Quality Standards
We maintain professional standards for all services. If you are dissatisfied with service quality, you should notify us within a reasonable timeframe. We will investigate concerns and take appropriate corrective action. Service quality depends on factors including facility condition, maintenance cooperation, and proper access.
Service Interruptions
Services may be temporarily interrupted due to weather emergencies, equipment failures, staff availability, or other circumstances beyond our control. We will make reasonable efforts to minimize disruptions and provide alternative arrangements when possible.
Payment and Financial Terms
Pricing and Quotes
Pricing information on our website is approximate and subject to facility assessment. Final pricing is provided in written proposals or service agreements. Prices may change based on actual facility conditions, scope changes, or market factors. We reserve the right to adjust pricing with appropriate notice as specified in service agreements.
Payment Terms
Payment terms are specified in service agreements. Unless otherwise agreed, payment is typically due within 30 days of invoice date. Late payments may incur interest charges or service suspension as outlined in service agreements.
Disputed Charges
If you dispute any charges, you must notify us in writing within 15 days of the invoice date. We will investigate disputes in good faith and work toward resolution. Undisputed portions of invoices remain due during dispute resolution.
Liability Limitations and Warranties
Insurance Coverage
Workspace Clarity maintains general liability insurance and workers' compensation coverage as required by law. Our insurance provides coverage for certain damages or injuries arising from our services, subject to policy limits and exclusions. Insurance coverage details are available upon request.
Limitation of Liability
Our liability for damages arising from our services is limited as follows:
- Total liability shall not exceed the amount paid for services in the twelve months preceding the claim
- We are not liable for indirect, consequential, or punitive damages
- We are not liable for damages to items not properly secured or disclosed to us
- Claims must be reported within 72 hours of service for property damage consideration
- We are not liable for pre-existing conditions or damage not caused by our services
Warranty Disclaimers
Services are provided on an "as is" basis. While we maintain professional standards, we do not warrant specific outcomes or results. Service effectiveness depends on factors including facility condition, usage patterns, and environmental conditions. We do not guarantee that all stains, odors, or damage can be removed or remediated.
Client Indemnification
Clients agree to indemnify Workspace Clarity against claims arising from conditions they created or failed to disclose, including hazardous materials, unsafe conditions, or violations of laws or regulations at their facilities.
Service Agreement Termination
Termination by Client
Clients may terminate service agreements by providing written notice as specified in the agreement (typically 30 days). Early termination may incur fees for remaining contractual obligations. All outstanding invoices become immediately due upon termination notice.
Termination by Workspace Clarity
We may terminate service agreements for non-payment, breach of terms, unsafe facility conditions, or if continuing service is not feasible. We will provide reasonable notice except in cases of immediate safety concerns or serious violations.
Effects of Termination
Upon termination, all outstanding obligations become immediately due. We will cease services on the effective termination date. Equipment or materials belonging to Workspace Clarity shall be returned. Provisions regarding liability, confidentiality, and dispute resolution survive termination.
Confidentiality and Data Protection
Both parties agree to maintain confidentiality of sensitive information disclosed during the service relationship. This includes business operations, security procedures, facility layouts, and proprietary processes. Our staff is trained on confidentiality requirements and professional conduct.
We handle personal data according to our Privacy Policy and applicable data protection laws. Clients are responsible for ensuring we have appropriate authorization to access areas containing confidential or sensitive information.
Force Majeure
Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, government actions, labor disputes, pandemics, or other force majeure events. We will make reasonable efforts to resume services as soon as practicable and will communicate about alternative arrangements when possible.
Dispute Resolution and Governing Law
Informal Resolution
Parties agree to attempt informal resolution of disputes through good faith negotiation before pursuing formal proceedings. Most concerns can be resolved through direct communication and mutual cooperation.
Mediation
If informal resolution fails, parties agree to attempt mediation with a mutually acceptable mediator before initiating litigation. Mediation costs shall be shared equally unless otherwise agreed.
Governing Law and Jurisdiction
These Terms and Conditions are governed by the laws of the jurisdiction where Workspace Clarity operates. Any legal proceedings shall be brought in the courts of that jurisdiction. Both parties consent to personal jurisdiction in those courts.
Severability
If any provision is found invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and remaining provisions shall remain in full effect.
Entire Agreement
These Terms and Conditions, together with our Terms of Service, Privacy Policy, and any service agreements, constitute the entire agreement between parties regarding the subject matter and supersede all prior agreements or understandings.
Modifications to Terms
We reserve the right to modify these Terms and Conditions at any time. Material changes will be reflected in the "Last updated" date and, where appropriate, communicated to active clients. Continued use of services after modifications indicates acceptance of updated terms.
Service agreements in effect at the time of modifications shall continue under their existing terms unless both parties agree to adopt updated terms.
